What is a corporate dispute?
A corporate dispute is a dispute related to the establishment of a legal entity, its management or participation in a legal entity that is a commercial organization, as well as a non-profit organization uniting commercial organizations and (or) individual entrepreneurs. Usually such disputes are related to disagreements that arise between the participants (shareholders) of a business over issues related to the management and conduct of the company's business activities, and entailing the violation of their rights.
What are the forms of out-of-court settlement of corporate disputes?
Participants in a corporate dispute are not obliged to take measures to resolve it before the court (clause 5 of Article 4 of the APC RF). However, Chapter 15 of the APC RF provides for out-of-court conciliation measures: Negotiations, Claim and Mediation.
What are the stages of judicial resolution of corporate disputes?
Cases on corporate disputes are considered by the arbitration court according to the general rules of claim proceedings Preparation of a statement of claim, Preliminary court hearing, Trial on the merits of the dispute, Decision of the arbitration court on the resolution of the corporate dispute.
